Change of Legal Form
from ENERGIEUNION AG to ENERGIEUNION GmbH

The Extraordinary General Meeting of ENERGIEUNION AG held on February 22, 2012 resolved to change the legal form of ENERGIEUNION AG to a Limited Liability Company. The change of legal form became effective on March 29, 2012 by way of registration in the company register. The Company shall operate, henceforth, under the name ENERGIEUNION GmbH. The new Commercial Register Number is HRB 11151.
 
The Change of Legal Form shall have no effect, whatsoever, on existing contractual relationships nor on hedging instruments between the company and his partner. Company address, billing address, bank account details, VAT ID (Value Added Tax Identification Number), contact details and phone numbers shall remain unchanged


The Office of André Burkhardt, who successfully worked for the Schwerin company since May 2008, ends with the entry of the new legal form in the commercial register of Schwerin on March 29, 2012. André Burkhardt is now in the VNG - Verbundnetz gas AG (VNG) as head of the fields of Sales Organisation.

As new CEO, Dr. Steffen Rothe and Frank Ruhland where unanimously appointed by the Assembly. Steffen Rothe worked for 14 years with  Energieunion and was responsible for the trading Department. He will also continue to be the head of this field. Mr. Frank Ruhland takes over the commercial Department of the Energieunion GmbH.

The Energieunion GmbH is, via the VNG-Erdgascommerz GmbH,  part of the VNG Unternehmensgruppe. It is a wholesale company, whose business includes the independent trade in electricity and gas, as well as the provision of trading services for distribution, power plant operators and wholesalers. The company is the only power company within the group. Furthermore,  the Energieunion GmbH offers portfolio management services for gas and electricity, and  as well as its subsidiaries EnergieFinanz GmbH, provides financial products. The company operates in the entire German market.
